When a commercial company operates in harmony, everything runs smoothly and the business develops without disruption. However, when disagreements arise among the shareholders or partners and the general meeting fails to resolve disputes in a lawful manner, their relationships enter a kind of "gray area." Bulgarian legislation has yet to provide a truly convincing solution for regulating the annulment of resolutions adopted by the general meetings of commercial companies. In his doctoral dissertation, an attorney analyzes the current state of this field and proposes solutions to some of its most pressing challenges.

Attorney at law Similiyan Stefanov is a member of the Ruse Bar Association and the Association of European Lawyers (AEA). He graduated in Law from Ruse University "Angel Kanchev", where he has been a full-time PhD candidate in Civil and Family Law since 2022. He practices in private law, specializing in commercial, obligations, labor, and property law, and is the author of publications related to company law.

You are currently working on a dissertation in company law. What attracted you to this area of law?

Company law is the engine of the economy; it governs the environment in which business breathes and grows. I was drawn to its dynamism and the intersection of law and economic strategy. Unlike static legal branches, here every regulation directly impacts the market. As a practicing attorney, I see that successful corporate management requires more than just theoretical knowledge; it demands a strategic approach. My goal is to help businesses find a balance between the freedom of economic initiative and strict legal requirements, preventing potential internal conflicts before they ever reach the courtroom.

Why is setting aside decisions of the general meeting in commercial companies such an intriguing legal subject?

It is the arena for the sharpest corporate clashes – the conflict between the majority and minority shareholders. Decisions of the general meeting are not ordinary contracts; they are specific, sui generis corporate acts that bind all members, even those who dissent. The legal regime of their invalidity holds immense theoretical depth. It requires a precise distinction between the defects of these decisions to understand when a decision is merely voidable and when it is void ab initio. This delicate balance between "corporate democracy" and the rule of law is both intellectually and practically challenging.

What are its practical implications in judicial practice and, consequently, in business?

The implications are fundamental. The general meeting makes decisions regarding the election of managers, capital changes, profit distribution, or corporate restructuring. Challenging these decisions in court creates massive uncertainty for the company and its counterparties. If a court sets aside a key decision months or years later, it can paralyze the company's operations. In practice, we often encounter so-called "hidden" meetings where shareholders are intentionally left unnotified. Here, the law must intervene authoritatively to protect the aggrieved investor, without jeopardizing the security of business transactions as a whole.

What are the most important conclusions you reached in your dissertation?

Firstly, the study proves that Bulgaria lacks a unified conceptual model for the invalidity of these acts, due to the mechanical adoption of foreign legislation in the past.

Secondly, I argue that the general civil law regime of transactions under the CPA is inapplicable to general meeting decisions – they require an entirely autonomous commercial law regime. Thirdly, I expose the flaws of the current 3-month absolute deadline for challenges under Art. 74 of the Commercial Act. This deadline acts as a "guillotine" for unnotified shareholders, which contradicts ECHR standards for a fair trial.

What are their academic and practical dimensions?

The academic contribution lies in the detailed comparative systemization of leading European models (French, German, Swiss) and addressing the conflicting domestic case law regarding "non-existent" decisions. The practical dimension is expressed in concrete legislative proposals (de lege ferenda). I propose amending Art. 74, Para. 2 of the Commercial Act to extend the deadline for filing a claim to one month, and in cases of a lack of proper notification – introducing a 2-year absolute limit. This will realistically protect minority shareholders and align Bulgarian law with European standards, preserving business stability.
